
Ethical Management
Jentech has designated the Finance Department as the unit responsible for promoting Ethical Corporate Management, with related matters reported to the Board of Directors on a regular annual basis. The Company has established and implemented the Code of Ethical Conduct and the Code of Ethics, both of which have been approved by the Board of Directors. These codes cover, among others, the prevention of conflicts of interest, insider trading prevention, compliance with laws and regulations, encouragement of reporting any illegal or unethical conduct, prohibition of bribery and improper benefits, and other violations of ethical standards. All directors, managerial officers, and employees are required to sign a declaration acknowledging and committing to these principles.
Guided by the core values of ethical management and respect for human rights, the Company is committed to creating a safe, friendly, and zero-tolerance workplace free from any form of improper treatment. Employees who encounter improper treatment, discrimination, harassment, threats, attacks, or other forms of infringement during the course of their work may file a complaint through the dedicated hotline or by submitting an Employee Complaint Form to the President’s Complaint Mailbox.
The President’s Complaint Mailbox is administered by the Occupational Safety Office. All submissions are jointly opened and processed by at least two staff members from the Occupational Safety Office and the Administration Department to ensure procedural integrity.
The Company strictly adheres to the principles of confidentiality in handling all complaints. Complainants may choose to remain anonymous or disclose their identity, and any form of retaliation, disadvantage, or reprisal against complainants or whistleblowers is strictly prohibited. Upon receipt of a complaint, the Occupational Safety Office shall immediately record relevant information, including the date of receipt, case number, type of complaint, and method of submission, and shall promptly transfer the case to the Administration Department for further handling.
Upon receiving the case, the Administration Department shall immediately initiate the investigation process and, together with the Occupational Safety Office, establish a neutral investigation team to conduct an objective and impartial investigation. Members of the investigation team shall have no conflict of interest with the case. Depending on the nature of the case (e.g., sexual harassment cases), external professionals may be invited to participate in the investigation. All investigations are conducted in accordance with applicable laws, regulations, and internal policies, ensuring that any interested parties are excluded to maintain independence and fairness.
The investigation team shall convene an investigation or review meeting and prepare meeting records within seven days of case acceptance. If a case is complex and requires an extended investigation period, the complainant shall be informed of the reasons for the extension and the estimated timeline for resolution. Throughout the investigation process, all information shall be kept strictly confidential, and no personal data of the complainant, reporter, or involved parties shall be disclosed. Any acts of retaliation, obstruction of the investigation, or adverse treatment shall be subject to disciplinary action in accordance with the Work Rules.
Upon completion of the investigation, the investigation team shall propose handling recommendations based on factual findings and the Work Rules and submit them to the President for final approval. After approval, the Administration Department shall inform the complainant of the investigation outcome, without disclosing personal data or sensitive information, to confirm that the case has been properly concluded.
The Company values every employee’s voice and encourages proactive reporting of opinions and concerns, with the aim of jointly building a corporate culture founded on dignity, inclusion, and mutual respect. All complaints are handled objectively, fairly, and impartially by designated units in accordance with established procedures, while ensuring that the privacy and rights of complainants and whistleblowers are fully protected from retaliation.
